1. LEGAL NOTICES

L’enseigne La Tarte au Carré (SAS TAC CHATEAU, société par actions simplifiée au capital
de 10 000 €, dont le siège social est situé au 38, rue du Château d’Eau, 75010 Paris,
immatriculée au registre du commerce et des sociétés de Paris sous le numéro 913 366
852, identifiée sous le numéro de TVA intracommunautaire FR 45 913366852, ci-après
dénommée “La Tarte au Carré“.

2. PURPOSE

2.1 These General Terms and Conditions of Sale (hereinafter ” GTC “), define the terms and conditions according to which any person (hereinafter ” the Customer “) orders and purchases the products sold by the company La Tarte au Carré (hereinafter ” La Tarte au Carré “), within the framework of a remote sales system on the Internet and mobile, for goods defined in the sales catalog of the Internet and mobile sites www.latarteaucarre.com (hereinafter ” The Site “).

3. APPLICATION OF THE GENERAL TERMS AND CONDITIONS OF SALE

3.1. These General Terms and Conditions are brought to the attention of the Customer to enable them to place an order.

3.2. The fact that the Customer completes an order on the Site and confirms the order constitutes full and complete acceptance of these General Terms and Conditions, which alone will be applicable to the contract that follows.

3.3. La Tarte au Carré reserves the right to modify these General Terms and Conditions in whole or in part and at any time.

4. CHARACTERISTICS OF THE GOODS OFFERED

4.1. The products offered to the Customer are those listed in the catalogue published on the Site within the limits of available stocks and subject to the proper functioning of the Site.

4.2. Each product is presented accompanied by a photograph and a description drawn up by La Tarte au Carré. The descriptions are intended to present the essential characteristics of the products to the Customer before the final order is taken and cannot in any way engage the liability of La Tarte au Carré. The photographs of the products are provided for information purposes only and are not contractual.

5. ORDER TAKING, CONFIRMATION

Orders can be taken on the Site either in a “Guest Account” or by opening a Customer Account by entering two identifiers: an e-mail address and a password. These identifiers are and must be kept confidential. The Customer’s right of access to the identifiers can be exercised upon simple request to the Internet Customer Service of La Tarte au Carré, which will only respond by e-mail to the address used when creating the Customer Account.

To place an order, the Customer undertakes to complete the elements constituting his order with precision and rigor. In this respect, he undertakes to fully fill in the various sections necessary for the proper processing of his order:

● Choice of product(s)
● Choice of billing address
● Choice of delivery address (in the case of home delivery or delivery by courier)
● Choice of delivery date
● Choice of payment method
● Verification and validation of the order and the General Conditions of Sale

By making payment on the site, the customer acknowledges having full legal capacity to commit to the General Conditions of Sale, which are the only ones applicable to the following contract. The site is accessible to the customer 24 hours a day, 7 days a week, except in the event of maintenance operations. Before paying for the order, the Customer declares that they have read and accepted these General Terms and Conditions. Validation of the order therefore constitutes unconditional acceptance of these General Terms and Conditions.

La Tarte au Carré will confirm the order and its payment:

● By email, to the email address provided by the Customer.

La Tarte au Carré reserves the right to refuse an order in the event of the customer failing to meet one of their obligations, and more generally, to refuse any order that is abnormal or incomplete for any reason whatsoever. The order is only final after confirmation by La Tarte au Carré. La Tarte au Carré will confirm to the customer the acceptance of their order by email or, where applicable, its refusal within 48 working hours following the entry of their order on the Internet.

6. PAYMENT METHODS

6.1. Payment for products is made by VISA or MASTERCARD bank card online from the Site, via the secure payment system of La Tarte au Carré’s banking establishment. Validation of payment by bank card is immediate.

6.2. To be registered, the order must be paid in full. Unpaid orders cannot be processed. In addition, La Tarte au Carré reserves the right to suspend any order or delivery in the event of refusal of payment authorization by financial institutions.

7. PROOF

7.1. La Tarte au Carré, via its host, stores purchase orders and invoices in its computer system and under reasonable security conditions.

7.2. Consequently, computerized records constitute a reliable and durable medium that can be produced as proof.

8. RIGHT OF WITHDRAWAL

In accordance with current legislation, the right of withdrawal does not apply to contracts for the supply of perishable products.

Products excluded from the 14-day Right of Withdrawal, according to current legislation:

(I) goods made to the consumer’s specifications or clearly personalized: this concerns in particular orders for specific pies, personalized cakes, etc.;
(II) fresh products, products likely to deteriorate or expire quickly such as pies, pastries, Viennese pastries, etc.;
(III) goods unsealed by the Customer after delivery and which cannot be returned for reasons of hygiene or health protection.

9. OUT OF STOCK

9.1. The products sold on the Site are offered within the limit of available stocks. A product that has become unavailable will be removed from the catalog of products available for distance selling as soon as possible.

9.2. However, in the event of a stock shortage, La Tarte au Carré will contact the Customer by telephone or email as soon as possible in order to agree with them to postpone the delivery while waiting for the restocking of this product when possible, either to offer to replace the product with another equivalent in quality and price or, if substitution is not possible, a refund for the missing product will be made.

10. PRICES

10.1. The prices indicated on the purchase orders and invoices are in Euros including VAT. The VAT included is the French VAT applicable on the day of the order. If the VAT rate were to be modified, these changes could be reflected in the price of the items without the Customer being informed in advance. However, the prices cannot be modified once the order has been confirmed.

Shipping costs include the cost of quality packaging provided by La Tarte
au Carré.

10.2. Delivery costs are charged in addition to the price of the goods. Delivery rates depend on the delivery method chosen (home delivery or delivery by courier), as well as the geographical area, weight and volume of the package.

11. DELIVERY

11.1 CLICK AND COLLECT

In the case of an order for Boutique Collection, the Customer agrees to collect their order from the selected La Tarte au Carré Boutique on the day and time slot they have chosen. As the products are perishable, La Tarte au Carré will not be able to keep an order that has been forgotten by the Customer. Any forgotten order will not be refunded under any circumstances. The Customer is required to ensure the conformity of their order at the time of collection. The customer is responsible for the information selected during their purchase (collection date, content of the order)

11.2 COURIER DELIVERY

The Courier Delivery service is available. For delivery by courier, the recipient is responsible for the information given, in particular the door code and floor as well as their telephone number. If the courier is unable to contact the customer, the latter will not be able to claim reimbursement of the delivery costs. In the case of delivery by courier, in the event of the recipient’s absence or inability to contact them, the products will be returned to the nearest store and will not be presented again. As the products are perishable, La Tarte au Carré will not be able to keep the order and will destroy the food products. No refund or replacement request can be made by the customer. Any order not received will not be refunded under any circumstances. In the case of delivery, the Customer is required to ensure the conformity of their order.

Common reservations

The information provided by the Customer when placing the order is binding on the Customer: in the event of an error by the Customer in the wording of their contact details or those of the place of delivery, in particular their surname, first name, address, telephone number, email address, door code, floor resulting in the loss of the products, the Customer remains responsible for the payment of the lost products and no compensation or refund will be given.

   Le transfert de propriété et de risques se fera au retrait et à la livraison des produit par le
   Client au lieu convenu, qui assumera seul, à compter de cette date, l’entière responsabilité
   de tous les dommages que les produits pourraient subir ou occasionner. Le Client doit
   vérifier l’état des produits dès leur arrivée et s’assurer qu’ils sont en tous points conformes à
   sa commande.
   
2. RÉCLAMATIONS
   
   Les réclamations ou contestations seront toujours reçues avec une bienveillance attentive, la bonne foi étant toujours présumée chez celui qui prend la peine d’exposer le litige. Le Client devra s’assurer de la conformité de sa commande à la livraison de celle-ci. Toute réclamation devra, pour être prise en compte, intervenir dans les 24 heures suivant la réception des produits. La présentation du ticket de caisse ou de la confirmation de commande internet est obligatoire pour toute réclamation. Aucun geste commercial ni remboursement ne pourront avoir lieu sans la présentation dudit justificatif. Des éléments complémentaires pourront être demandés au client dans le cadre de sa réclamation notamment : Nº de commande, photos…
   
3. PRODUCT WARRANTY
   
   14.1. La Tarte au Carré guarantees the Customer that the products are manufactured and packaged according to strict quality rules, and stored in accordance with the standards in force in France.
   
   14.2. However, La Tarte au Carré cannot extend its warranty on its products if the Customer has not respected optimum storage conditions, namely refrigerating the products as quickly as possible and consuming them within 24 hours.
   
4. PROPRIÉTÉ INTELLECTUELLE
   
   La structure, la mise en page, la charte graphique, les textes, la base de données, les images, les photos, les sons, les vidéos et tout autre élément composant le Site sont et restent la propriété intellectuelle et exclusive de la société La Tarte au Carré et sont protégés par le droit d’auteur. Les marques, les noms commerciaux et les logos figurant sur ce site sont des marques déposées sauf mention contraire.
   
   La reproduction, la représentation, l’exploitation, la rediffusion, ou l’utilisation à quelque titre que ce soit, même partiellement, des éléments du Site qu’ils soient logiciels, visuels ou sonores, sont soumis à l’autorisation expresse et préalable de La Tarte au Carré, titulaire de l’ensemble des droits de propriété intellectuelle. Le client ne doit en aucun cas revendre les produits qui sont destinés à son usage personnel ou à celui de la personne destinataire de sa commande. Toute reproduction totale ou partielle, modification ou utilisation des produits ou de leurs images pour quelque motif que ce soit est strictement interdite.
   
5. FORCE MAJEURE
   
   Ni la société La Tarte au Carré, ni le Client ne saurait être tenu responsable de toute
   inexécution, la non-exécution ou le retard dans l’exécution de l’une de ses obligations décrites dans les présentes C.G.V qui aurait pour origine un cas de force majeure. À ce titre, la force majeure s’entend de tout événement extérieur, imprévisible et irrésistible au sens de l’article 1148 du Code civil. De façon expresse, sont considérés comme cas de force majeure ou cas fortuit, outre ceux habituellement retenus par la jurisprudence des cours et tribunaux français : les grèves totales ou partielles, grèves patronales, émeutes, troubles civils, insurrections, guerres, intempéries, épidémies, blocages des moyens de transport ou d’approvisionnement pour quelque raison que ce soit, tremblements de terre, incendies, tempêtes, inondations, dégâts des eaux, restrictions gouvernementales ou légales, modifications légales ou réglementaires des formes de commercialisation, pannes d’ordinateur, blocages des télécommunications, y compris des réseaux de télécommunications, toute remise en cause des fondements mathématiques régissant la théorie des algorithmes cryptographiques, utilisés pour les infrastructures à clé publique et tout autre cas indépendant de la volonté des Parties empêchant l’exécution normale du contrat.
   
6. LOI APPLICABLE
   
   Les présentes conditions générales sont régies exclusivement par la loi française. Le Tribunal de commerce de Paris sera seul compétent pour tout litige ou différend les concernant. Les présentes conditions générales sont régies exclusivement par la loi française. La langue du présent contrat est la langue française. En cas de traduction, seule la version française fait foi. Tout litige sera de la compétence du Tribunal de Commerce de Paris une fois les voies amiables épuisées.
   La responsabilité de la société La Tarte au Carré ne saurait être engagée en cas de non-respect de la réglementation d’un pays étranger où les produits commercialisés sur ce site seraient livrés.
